Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of ibexoft.com and all products and services offered by Ibexoft, including our WordPress plugins, web applications, and any future digital product, plugin, SaaS tool, or solution we release (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Who We Are

2. Our Products and Services

We currently offer, and these Terms apply to:

  • Automotive Inventory Importer — a WordPress plugin, available free on WordPress.org and as a paid Pro upgrade (annual or monthly license) via Freemius, and also available for one-time purchase on CodeCanyon (Envato Market)
  • DailyWins — a web application, account-based
  • SpendLess — a web application, account-based
  • ibexoft.com Blog — supported by advertising and affiliate partnerships
  • Awesome Startup Tools — a curated directory

These Terms also apply to any future product, plugin, application, or service we release under the Ibexoft brand, from the date it becomes available, without requiring a separate agreement unless we state otherwise for that specific product.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract, to purchase or use our paid Services.

4. Free and Paid Offerings

Some Services are offered free of charge, with limited features or usage caps (for example, the free version of Automotive Inventory Importer, capped at 25 vehicles). Paid (“Pro” or premium) versions unlock additional features and higher or unlimited usage limits, as described on the relevant product page at the time of purchase. Feature sets and limits for free tiers may change over time; we will not remove functionality you already rely on without reasonable notice, wherever practical.

5. Purchases, Payment Processing, and Merchants of Record

We use trusted third parties to handle all payments so that we never see or store your payment card details:

  • Freemius, Inc. is the merchant of record and authorized reseller for the Automotive Inventory Importer Pro plugin, and for any future WordPress plugin we sell. Your purchase is subject to Freemius’s own Terms and Conditions of Sale, available at freemius.com, in addition to these Terms.
  • Paddle.com Market Ltd (or Paddle.com Inc., depending on your location) is the merchant of record and authorized reseller for DailyWins and any future non-plugin digital product or SaaS offering we sell. Your purchase is subject to Paddle’s Buyer Terms and Conditions, available at paddle.com/legal/buyer-terms, in addition to these Terms.
  • CodeCanyon (Envato Market): if you purchase Automotive Inventory Importer via CodeCanyon, that purchase is governed entirely by Envato’s Regular or Extended License terms and the Envato Market User Terms, available at codecanyon.net/licenses. These Terms do not apply to that purchase; Envato — not Ibexoft — is the platform whose terms control that transaction.

By making a purchase, you also agree to the applicable Merchant of Record’s terms referenced above.

6. Subscriptions and Auto-Renewal

Paid licenses sold as subscriptions (e.g., annual or monthly Pro plans) renew automatically at the end of each billing period, at the then-current price, unless cancelled before the renewal date. You will be notified of upcoming renewals in accordance with our Merchant of Record’s standard practice. You can cancel a subscription at any time, effective at the end of the current billing period, through the customer portal linked in your purchase confirmation or renewal email, or by contacting us directly.

7. Refunds

Refunds are governed by our separate Refund Policy, available at ibexoft.com/refund-policy. Purchases made through CodeCanyon/Envato are governed by Envato’s own refund rules instead, as described in that policy.

8. Software License Grant

For our WordPress plugins:

  • The free version distributed via WordPress.org is licensed under the GNU General Public License (GPL), version 2 or later, consistent with WordPress.org’s requirements.
  • The Pro version extends the same codebase and is GPL-compatible. Your paid license key controls your access to software updates, technical support, and the number of site activations included in your plan — it is not a copy-protection mechanism, and does not change the underlying open-source nature of the code. Using the Pro features without a valid, paid license is not permitted under your purchase agreement.

9. Acceptable Use

You agree not to: reverse-engineer our Services beyond what is permitted by applicable open-source licenses; resell, sublicense, or redistribute a paid license beyond what your plan permits; use the Services for any unlawful purpose; attempt to disrupt, overload, or gain unauthorized access to our systems; or misrepresent your identity when purchasing or requesting support.

10. Intellectual Property

All content, branding, trademarks, and original code on ibexoft.com and within our products (excluding GPL-licensed plugin code, which remains open source under its license terms) are owned by Ibexoft. You may not use our name, logo, or branding without prior written permission.

11. User Accounts

For account-based products (DailyWins, SpendLess, and future products), you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.

12. Content You Submit

You retain ownership of any data or content you submit through our Services (e.g., entries, logs, lists). You grant us a limited license to store, process, and display that content solely as necessary to provide the Service to you.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBEXOFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold Ibexoft harmless from any claims, damages, or expenses arising from your misuse of the Services or violation of these Terms.

Our Services may integrate with or link to third-party services (including our Merchants of Record, hosting, analytics, and affiliate partners). We are not responsible for the content, policies, or practices of third-party services.

17. Termination

We may suspend or terminate your access to the Services if you violate these Terms. You may stop using free Services at any time; paid licenses may be cancelled as described in Section 6.

18. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. Material changes will be reflected by updating the “Last updated” date above.

19. Governing Law

Purchases made through Freemius or Paddle are governed by those companies’ own Buyer Terms, including their stated governing law, as referenced in Section 5. For all other matters relating to your use of ibexoft.com itself (excluding purchases), these Terms are governed by the laws applicable to the seller’s principal place of business, without regard to conflict-of-law principles.
